SteelSight Web Terms of Service

Introduction

Welcome to SteelSight Web. These Terms of Service ("Terms") govern your use of the SteelSight Web web application ("App") provided by SteelSight Systems ("we," "our," or "us").

By using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Description of Service

SteelSight Web is a web application designed for fleet managers, safety officers, and company administrators. The App provides:

• Fleet-wide operations dashboard
• Equipment utilization and cost analytics
• Inspection compliance status overview
• Payroll summaries and labour cost breakdowns
• Safety incident trends and reporting
• User and role management for your organization

2. Account Registration

To use certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of unauthorized access
• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree to use the App only for lawful purposes. You shall not:

• Use the App for any illegal activity
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the App's functionality
• Reverse engineer, decompile, or disassemble the App
• Remove or alter any proprietary notices
• Use the App to transmit malware or harmful code

4. Safety Disclaimer

SteelSight Web is a reporting and administration dashboard. It is NOT a substitute for reviewing underlying records, professional judgment, or safety and compliance protocols.

• Dashboards, analytics, and reports reflect data entered by your organization's users in connected SteelSight Systems apps
• The App does not verify the accuracy or completeness of that underlying data
• Compliance and status indicators are informational summaries, not regulatory determinations
• You are solely responsible for verifying information against underlying records before acting on it

We disclaim all liability for losses or damages resulting from reliance on dashboards, reports, or summaries generated by the App.

5. Intellectual Property

The App and its contents (excluding user-generated content) are owned by SteelSight Systems and protected by copyright, trademark, and other laws. You receive a limited, non-exclusive, non-transferable license to use the App for personal or professional use.

You retain ownership of content you create (reports, dashboard configurations, notes). By using the App, you grant us a license to store, sync, and display your content to provide the service.

The App integrates with third-party services (authentication, data synchronization). These services have their own terms and privacy policies. We are not responsible for third-party service availability or accuracy.

8. Data and Privacy

Your use of the App is also governed by our Privacy Policy. By using the App, you consent to our data practices as described therein.

9. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of information

We do not warrant that the App will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, SteelSight Systems shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or goodwill
• Personal injury or property damage
• Any damages exceeding the amount you paid us in the past 12 months

Some jurisdictions do not allow these limitations, so they may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless SteelSight Systems, its officers, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights

12. Consumer Protection

Nothing in these Terms is intended to limit or exclude any rights you may have under the Consumer Protection Act (Alberta), the Competition Act (Canada), or other applicable Canadian consumer protection legislation that cannot be excluded or limited by contract.

13. Modifications to the App

We reserve the right to:

• Modify, suspend, or discontinue any part of the App
• Change features, functionality, or pricing
• Limit access to certain features

We will provide reasonable notice of significant changes when possible.

14. Termination

We may terminate or suspend your access immediately, without notice, for:

• Violation of these Terms
• Conduct we deem harmful to other users or our business
• Extended periods of inactivity

Upon termination, your right to use the App ceases. Provisions that should survive termination (disclaimers, limitations of liability, indemnification) will remain in effect.

15. Governing Law

These Terms are governed by the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts of the Province of Alberta.

16. Dispute Resolution

Before filing a legal claim, you agree to attempt to resolve disputes informally by contacting us at legal@steelsightsystems.ca. If we cannot resolve the dispute within 30 days, either party may proceed with formal proceedings.

17. Changes to These Terms

We may update these Terms periodically. We will notify you of material changes via the App or email. Continued use after changes constitutes acceptance of the new Terms.

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, EULA, Safety Disclaimer, and Acceptable Use Policy, constitute the entire agreement between you and SteelSight Systems regarding the App.
